Terms of Service — Pratick Auth
Last updated: 20 July 2026
These Terms of Service ("Terms") govern access to and use of the Pratick Auth platform, website, client portal, mobile application, and API (together, the "Services"), operated by PRATICK, a limited liability company incorporated under the laws of the Togolese Republic ("Pratick", "we", "us"). Company registration details are available on request and appear on all invoices and formal correspondence.
By creating an account, accessing the portal, or calling the API, you ("Client", "you") agree to these Terms on behalf of the business you represent. If you do not agree, do not use the Services.
1. The Services
Pratick Auth is a business-to-business messaging platform enabling verified businesses to send and verify one-time passwords (OTP) and related transactional messages to mobile numbers via SMS and supported messaging channels. The Services are provided to businesses only and are not intended for consumers.
2. Eligibility and Account Registration
2.1. You must be a legally registered business (or a person duly authorized to act for one) to open an account.
2.2. You agree to provide accurate, complete, and current registration information, including business identity documents required for verification ("KYC"), and to keep it updated.
2.3. Production access (live API keys) is granted only after successful completion of our KYC review. We may refuse, suspend, or withdraw approval at our discretion where verification cannot be completed or where we identify risk of fraud, abuse, or unlawful activity.
2.4. You are responsible for safeguarding your credentials, including passwords and API keys. Live API keys must be kept confidential and used only from your server-side systems. You are responsible for all activity under your account.
3. Prepaid Credits and Payment
3.1. The Services operate on a prepaid basis. You purchase credits ("Credits") through the client portal using supported payment methods, currently including FedaPay and bank transfer. Additional payment partners may be added.
3.2. Credits are consumed per message according to destination, channel, and route, at the rates displayed in your portal at the time of sending. Rates may change with reasonable notice; changes do not affect Credits already consumed.
3.3. Charges apply to messages successfully dispatched in accordance with our billing logic. Where a message fails across all delivery routes, the corresponding hold on your balance is released.
3.4. Refunds. Top-up payments are final, except in cases of duplicate or erroneous payment, which will be corrected or refunded upon verification. Unused Credits may be refunded upon written request at account closure, less applicable payment-processing fees, via the original payment method. Nothing in this clause limits rights you hold under mandatory applicable law.
3.5. You are responsible for any taxes applicable to your purchases other than taxes on our income.
4. Acceptable Use
4.1. You must comply with our Acceptable Use and Anti-Spam Policy, which forms part of these Terms.
4.2. In particular, you warrant that: (a) you have all necessary consents from end recipients to send them messages through the Services; (b) you will use the Services only for lawful, transactional, and authentication purposes consistent with the message categories approved for your account; and (c) you will not use the Services to send unlawful, fraudulent, deceptive, or harassing content.
4.3. You are solely responsible for the content of messages you submit and for your compliance with telecommunications, data protection, and consumer protection laws in the destinations you message.
4.4. We may filter, suspend, or block traffic that we reasonably believe violates these Terms, harms our network reputation, or is required to be blocked by carriers, channel providers, or authorities.
5. API Use and Integration
5.1. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the API and documentation to integrate the Services into your own applications.
5.2. You must not: reverse engineer the Services; resell raw access to the API without our written agreement; embed live API keys in client-side code; exceed rate limits or attempt to circumvent technical protections; or use the Services to build a directly competing OTP gateway using our infrastructure.
5.3. Sandbox keys are provided for testing and simulate delivery without dispatching messages or incurring charges.
6. Service Levels and Availability
6.1. We engineer the Services for high availability, including multi-route delivery and failover. However, message delivery depends on third-party carriers, channel providers, and networks outside our control. Delivery is provided on a best-effort basis and is not guaranteed.
6.2. We may perform maintenance, updates, and changes to the Services. Where practicable we will give notice of planned maintenance affecting availability.
7. Data Protection
7.1. Our collection and use of personal data is described in our Privacy Policy.
7.2. With respect to end-recipient phone numbers and message metadata you submit through the API, you act as the data controller and we act as your processor, as further described in our Data Processing Terms, which form part of these Terms.
8. Suspension and Termination
8.1. You may close your account at any time via the portal or by written notice.
8.2. We may suspend or terminate your access immediately where: (a) KYC cannot be completed or approval is withdrawn; (b) we identify fraud, abuse, spam, or unlawful use; (c) your balance or conduct presents credit or compliance risk; (d) required by law, carriers, or channel providers; or (e) you materially breach these Terms and, where curable, fail to cure within seven (7) days of notice.
8.3. Upon termination, your licence ends, API keys are revoked, and outstanding obligations survive. Clause 3.4 governs any refund of unused Credits.
9. Intellectual Property
The Services, including software, documentation, branding, and content (excluding your data and message content), are and remain the property of PRATICK or its licensors. No rights are granted except as expressly set out in these Terms.
10. Confidentiality
Each party will protect the other's non-public information received in connection with the Services with at least reasonable care and use it only for purposes of the relationship. This clause does not restrict disclosures required by law.
11. Warranties and Disclaimers
Except as expressly stated, the Services are provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or that every message will be delivered.
12. Limitation of Liability
12.1. To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill.
12.2. Our total aggregate liability arising out of or relating to the Services in any twelve (12) month period is limited to the amounts you paid to us for the Services in that period.
12.3. Nothing in these Terms excludes liability that cannot be excluded under applicable law, including liability for fraud.
13. Indemnity
You will defend and indemnify Pratick against claims, damages, and costs arising from: (a) your message content; (b) your violation of law, including anti-spam and data protection law; (c) your breach of Sections 4 or 5; or (d) disputes between you and your end users or recipients.
14. Changes to the Services or Terms
We may update these Terms from time to time. Material changes will be notified via the portal or email at least fifteen (15) days before taking effect. Continued use after the effective date constitutes acceptance. If you do not agree, you may close your account before the changes take effect.
15. Governing Law and Disputes
These Terms are governed by the laws of the Togolese Republic and applicable OHADA uniform acts. The parties will first attempt to resolve disputes amicably. Failing resolution within thirty (30) days, disputes shall be submitted to the competent courts of Lomé, Togo, without prejudice to any mandatory arbitration or jurisdiction provisions of applicable law.
16. General
These Terms, together with the policies referenced in them, form the entire agreement between the parties regarding the Services. If any provision is held unenforceable, the remainder remains in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign to an affiliate or in connection with a merger or sale.
